TERMS AND CONDITIONS

Effective Date: October 1, 2026

These Terms and Conditions (“Terms”) constitute a legally binding agreement governing access to and use of The Blender Platform (“Blender,” “The Blender Platform,” or the “Platform”), a technology platform developed and operated by Lenderblock Corporation (“Lenderblock,” “LB,” “we,” “us,” or “our”).

Please read these Terms carefully before creating an account, depositing or withdrawing Digital Assets, creating or participating in a Credit-Line, lending, borrowing, staking, providing Collateral, posting User Content, commenting on other Users’ content, or otherwise using the Platform.

By accessing or using The Blender Platform, you acknowledge that you have read, understood, and agreed to these Terms.

1. DEFINITIONS

For purposes of these Terms:

“Available Balance” means the amount displayed through a Blender Wallet as presently available for Platform use, subject to pending transactions, Credit-Line commitments, withdrawals, Collateral commitments, compliance restrictions, blockchain conditions, and other applicable limitations.

“Blender Wallet” means the Platform functionality through which a User’s available Platform funds, balances, transactions, Credit-Line activity, and related activity are displayed or managed.

“Borrower” means an eligible User who creates, maintains, accesses, or uses a Credit-Line for the purpose of obtaining credit funded by participating Lenders.

“Collateral” means Digital Assets or other value committed through the Platform to support obligations associated with a Credit-Line, including Collateral supplied by a Staker, Borrower, or other eligible participant.

“Credit-Line” means a peer-to-peer credit facility created and maintained through The Blender Platform through which participating Lenders may make funds available for borrowing subject to applicable Platform parameters.

“Digital Asset” means a cryptocurrency, blockchain-based token, stablecoin, or other digitally represented asset supported by the Platform.

“Finance Charge” means interest and any other amount constituting a finance charge under applicable law in connection with a Borrower’s use of credit.

“Lender” means an eligible User who commits or provides funds to a Credit-Line through The Blender Platform.

“Normalization” or “Normalization Process” means the process through which a Supported Asset deposited through a Supported Network may be transferred, bridged, exchanged, converted, routed, or otherwise processed so that funds ultimately credited for use within The Blender Platform are denominated in xDAI.

“Owed Balance” means the unpaid principal amount actually borrowed or withdrawn by a Borrower and remaining unpaid, as reflected through the Platform, together with any other amounts included where expressly indicated.

“Platform” or “The Blender Platform” means the websites, mobile applications, software, interfaces, Smart Contracts, blockchain systems, social features, and related technology made available under The Blender Platform name by Lenderblock Corporation.

“Settlement Asset” means xDAI on Gnosis Chain, which is the Digital Asset in which internal Platform balances and transactions are denominated unless expressly indicated otherwise.

“Smart Contract” means computer code deployed to a blockchain that may automatically execute, record, enforce, or facilitate transactions or Platform functions when specified conditions are satisfied.

“Staker” means an eligible User who commits Collateral to a Credit-Line and who may receive commissions or other compensation according to applicable Platform rules.

“Supported Asset” means a Digital Asset expressly identified by the Platform as eligible for deposit, withdrawal, Normalization, or another Platform function.

“Supported Network” means a blockchain network expressly identified by the Platform as supported for a particular transaction.

“USD,” “USD Equivalent,” or “USD Eq.” when used within the Platform in connection with a Digital Asset means an approximate U.S.-dollar-equivalent representation of that Digital Asset unless the Platform expressly states that actual fiat U.S. dollars are involved.

“User Content” or “UGC” means photographs, profile images, captions, comments, replies, messages, usernames, text, links, audiovisual material, and other content submitted or made available by a User through the Platform.

“User,” “Member,” “you,” or “your” means any person authorized to access or use The Blender Platform.

2. NATURE OF THE BLENDER PLATFORM

The Blender Platform provides technological infrastructure through which eligible Users may participate in peer-to-peer credit relationships, blockchain-based transactions, social interaction, and related Platform activities.

Depending on a User’s activities, a User may participate as a Borrower, Lender, Staker, content creator, commenter, or in another capacity made available through the Platform.

Lenderblock provides technological systems through which Users may:

  • create and interact with Credit-Lines;

  • lend and borrow;

  • provide Collateral;

  • stake;

  • make repayments;

  • deposit and withdraw Supported Assets;

  • use Blender Wallet functionality;

  • execute Smart Contract transactions;

  • post profile information and User Content;

  • comment and interact with other Users; and

  • use other functionality made available by the Platform.

Unless expressly stated otherwise, Lenderblock does not itself become a Lender merely by operating the Platform.

Funds made available to Borrowers through Credit-Lines are provided by participating Lenders in accordance with these Terms and the applicable Credit-Line parameters.

The Blender Platform is not a bank account.

A Blender Wallet balance is not a fiat U.S.-dollar bank deposit merely because its value is displayed in USD.

Nothing in these Terms should be interpreted as representing that Platform balances are insured by the Federal Deposit Insurance Corporation, Securities Investor Protection Corporation, or any similar governmental or private deposit-protection program unless expressly stated otherwise.

3. ELIGIBILITY

To use financial functions of The Blender Platform, you must:

  1. be at least eighteen (18) years old or the age of majority applicable in your jurisdiction, whichever is greater;

  2. possess the legal capacity to enter into binding agreements;

  3. provide accurate and complete information requested by the Platform;

  4. complete identity, compliance, or eligibility verification required by Lenderblock;

  5. not be prohibited from using the Platform by applicable law;

  6. not be subject to sanctions or restrictions that make your participation unlawful; and

  7. use the Platform only for lawful purposes.

Availability of the Platform in a particular jurisdiction does not constitute a representation that every Platform function is legally available to every User in that jurisdiction.

Lenderblock may restrict specific functions, Digital Assets, networks, Credit-Lines, User roles, or geographic locations based on legal, operational, compliance, risk, security, or technological considerations.

4. USER ACCOUNTS

You are responsible for maintaining the confidentiality and security of your account credentials.

You must not knowingly permit another person to impersonate you or use your account in violation of these Terms.

You are responsible for activity initiated through your authenticated account except to the extent otherwise required by applicable law.

You must promptly notify Lenderblock if you believe:

  • your account has been compromised;

  • an unauthorized person has accessed your account;

  • an unauthorized transaction has occurred; or

  • information associated with your account is materially inaccurate.

Lenderblock may require additional authentication or verification before allowing sensitive transactions.

5. IDENTITY VERIFICATION, COMPLIANCE, AND SANCTIONS

Users may be required to complete identity verification and provide personal, financial, or other information before accessing some or all Platform functions.

Verification may be conducted directly by Lenderblock or through third-party service providers.

Lenderblock may request additional information when reasonably necessary for:

  • identity verification;

  • fraud prevention;

  • sanctions screening;

  • legal compliance;

  • anti-money-laundering controls;

  • transaction monitoring;

  • risk management; or

  • account security.

You agree that information submitted through the Platform must be truthful, current, and complete.

Lenderblock may delay, reject, restrict, investigate, or report transactions when reasonably required or permitted by law or necessary to protect the Platform and its Users.

6. xDAI AS THE PLATFORM SETTLEMENT ASSET

Unless the Platform expressly indicates otherwise, funds used within The Blender Platform are denominated and transacted in xDAI on Gnosis Chain.

This includes, as applicable:

  • Blender Wallet balances;

  • funds committed by Lenders;

  • borrowed amounts;

  • repayments;

  • interest;

  • commissions;

  • Collateral;

  • Credit-Line balances; and

  • other internal financial transactions.

Although Users may deposit or withdraw through other Supported Assets or Supported Networks where available, such functionality does not change xDAI’s role as the primary Settlement Asset used within The Blender Platform.

7. USD REPRESENTATION OF xDAI

xDAI is designed to maintain an approximate value corresponding to the U.S. dollar.

For ease of use and comprehension, The Blender Platform may represent xDAI-denominated amounts using:

  • USD

  • USD Eq.

  • USD Equivalent

or similar USD terminology.

For example, approximately 100 xDAI may be displayed as:

100 USD

or

100 USD Eq.

Such representation does not mean that the User holds 100 fiat U.S. dollars.

Unless the Platform expressly states that a transaction involves fiat currency:

  1. a reference to USD represents an approximate USD-equivalent value of underlying xDAI;

  2. the underlying Platform asset remains xDAI;

  3. a USD-displayed Blender Wallet balance is not a U.S.-dollar bank deposit;

  4. USD terminology does not convert xDAI into fiat currency; and

  5. Lenderblock does not guarantee that one xDAI will at all times equal exactly 1.00 USD.

The Platform may use USD terminology throughout its interfaces without repeatedly displaying the term xDAI.

Users agree that, unless expressly stated otherwise, such USD amounts represent the approximate USD-equivalent denomination of xDAI.

8. SUPPORTED ASSETS AND NETWORKS

Lenderblock may permit Users to deposit or withdraw Digital Assets other than xDAI.

The Platform determines which Digital Assets and blockchain networks are supported from time to time.

Support for a particular Digital Asset does not mean that every blockchain network on which that asset exists is supported.

You are responsible for selecting:

  • the correct Digital Asset;

  • the correct blockchain network;

  • the correct destination address; and

  • any required memo, tag, identifier, or transaction information.

Sending an unsupported asset, using an unsupported network, or providing incorrect information may result in permanent loss of Digital Assets.

Lenderblock does not guarantee that incorrectly transmitted Digital Assets can be recovered.

9. DEPOSITS AND NORMALIZATION

Where the Platform permits deposits of a Supported Asset other than xDAI, that Supported Asset may undergo the Normalization Process.

Normalization may involve:

  • blockchain transfers;

  • bridges;

  • decentralized exchanges;

  • liquidity providers;

  • Smart Contracts;

  • Digital Asset swaps;

  • routing systems;

  • blockchain networks; or

  • other decentralized or third-party infrastructure.

The objective of Normalization is to convert or route deposited value into xDAI for use within The Blender Platform.

The amount ultimately credited may differ from the initial USD-equivalent value of a deposit because of:

  • network fees;

  • gas costs;

  • bridge fees;

  • exchange fees;

  • liquidity conditions;

  • price movement;

  • slippage;

  • routing costs;

  • third-party charges; or

  • other transaction expenses.

A deposit is not necessarily complete merely because the originating blockchain transaction has been submitted.

The Platform may require confirmations, successful Normalization, security review, or additional processing before funds become available.

10. BLENDER WALLETS

The Blender Wallet is the Platform interface through which Users may view and manage eligible Platform balances and transactions.

A displayed Blender Wallet balance may consist of Digital Assets, Smart Contract balances, blockchain records, or other blockchain-based representations rather than fiat currency.

The technical arrangements supporting Blender Wallets may include:

  • Smart Contracts;

  • blockchain addresses;

  • software infrastructure;

  • third-party service providers; or

  • combinations of these systems.

Certain balances may temporarily be unavailable because they are:

  • committed to a Credit-Line;

  • pledged as Collateral;

  • involved in a pending withdrawal;

  • undergoing Normalization;

  • awaiting blockchain confirmation;

  • subject to an investigation;

  • subject to a legal restriction; or

  • otherwise unavailable under these Terms.

11. WITHDRAWALS

Users may request withdrawals of eligible Available Balances using withdrawal methods supported by the Platform.

Withdrawals may require conversion, Normalization, blockchain routing, or other processing.

The amount delivered may be reduced by applicable:

  • network fees;

  • bridge fees;

  • conversion costs;

  • liquidity costs;

  • routing costs; or

  • other transaction expenses.

Lenderblock may delay or refuse a withdrawal when reasonably necessary because of:

  • insufficient Available Balance;

  • pending blockchain confirmation;

  • suspected fraud;

  • account compromise;

  • sanctions concerns;

  • identity-verification requirements;

  • legal process;

  • technical failure;

  • incorrect destination information;

  • Smart Contract conditions; or

  • another lawful risk or compliance reason.

Blockchain transactions generally cannot be reversed after execution.

12. CREATION OF CREDIT-LINES

Eligible Borrowers may create Credit-Lines through the Platform.

The Platform may permit or require the Borrower to establish parameters including:

  • requested credit limit;

  • interest or Finance Charge;

  • repayment requirements;

  • minimum payments;

  • collateral requirements;

  • Credit-Line duration;

  • lender participation conditions;

  • voting requirements;

  • applicable fees; and

  • other financial or operational parameters.

The parameters displayed through the Platform form part of the governing terms of the Credit-Line together with these Terms.

The Blender Platform does not require a separate individual Credit-Line Written Contractual Agreement unless Lenderblock expressly introduces one for a particular future product.

Electronic Platform records constitute evidence of the parameters accepted by Users.

13. ACCEPTANCE OF CREDIT-LINE TERMS

By creating a Credit-Line, the Borrower agrees to the applicable parameters displayed before creation.

By committing funds to a Credit-Line, a Lender agrees to the then-displayed parameters of that Credit-Line.

By committing Collateral, a Staker agrees to the then-displayed staking and collateral parameters.

Electronic actions through the Platform may constitute legally binding manifestations of assent.

Such actions may include:

  • creating a Credit-Line;

  • lending;

  • borrowing;

  • staking;

  • providing Collateral;

  • voting;

  • repaying;

  • withdrawing; or

  • submitting another financial transaction.

Lenderblock may maintain electronic records of these actions.

14. LENDERS

Lenders may select Credit-Lines to which they wish to provide funds.

A Lender is responsible for independently evaluating whether a Credit-Line is appropriate.

Information displayed concerning a Borrower, Credit-Line, repayment history, interest rate, Collateral, User activity, or other information does not constitute a guarantee of repayment.

By lending through the Platform, a Lender acknowledges the possibility of delayed repayment or loss.

Funds committed to a Credit-Line may be subject to restrictions and may not remain immediately withdrawable.

15. BORROWERS

A Borrower may request access to funds available through the Borrower’s Credit-Line up to the applicable available credit limit.

Borrowers agree to use borrowed funds only for lawful purposes.

A Borrower promises to repay borrowed amounts together with applicable Finance Charges, fees, and other lawful amounts due.

Borrowers are responsible for reviewing Credit-Line parameters before creating or using a Credit-Line.

Borrowers may repay some or all outstanding principal earlier than required unless otherwise disclosed and permitted by law.

16. STAKERS

Eligible Users may participate as Stakers where staking functionality is available.

A Staker may commit Collateral to a Credit-Line that the Staker does not own.

A Staker may receive commissions or other compensation according to applicable Platform rules.

Staking involves the risk that some or all Collateral may be applied to outstanding Borrower obligations following default.

A Staker should not commit Collateral that the Staker cannot afford to have applied or lost.

Staker compensation is not guaranteed.

17. COLLATERAL

The Blender Platform may use Collateral to provide protection to Lenders against Borrower default.

Collateral may be supplied by:

  • a Borrower;

  • one or more Stakers; or

  • another source supported by the Platform.

Where a Credit-Line is described as fully collateralized or 100% collateralized, that representation refers to the amount or ratio of eligible Collateral committed according to the Platform’s applicable calculation at the relevant time.

It does not mean repayment is absolutely guaranteed.

Collateral protection may be affected by:

  • Smart Contract failures;

  • blockchain failures;

  • asset-price changes;

  • legal restrictions;

  • exploitation or hacking;

  • liquidity conditions;

  • technical malfunction;

  • transaction fees; or

  • other circumstances beyond Lenderblock’s reasonable control.

Collateral is not insurance unless expressly provided through a legally valid insurance policy issued by an authorized insurer.

18. CREDIT LIMITS

A Borrower may not intentionally borrow more than the amount made available under the applicable Credit-Line.

The Platform may calculate available credit based on:

  • total lender funding;

  • outstanding principal;

  • committed Collateral;

  • pending transactions;

  • applicable Credit-Line parameters; and

  • other adjustments made by Platform logic or Smart Contracts.

Displayed credit limits may change as funds, repayments, Collateral, or other Credit-Line conditions change.

19. BORROWER WITHDRAWALS AND LENDER VOTING

Certain Credit-Lines may require participating Lenders to vote before funds may be released to a Borrower.

Where voting applies, the Platform may establish:

  • voting thresholds;

  • voting periods;

  • quorum requirements;

  • approval conditions;

  • automatic outcomes; or

  • other governance rules.

A Borrower does not have an unconditional right to withdraw all funded amounts merely because those amounts appear within a Credit-Line.

Withdrawal availability may depend on applicable voting, collateral, compliance, Smart Contract, and Credit-Line conditions.

20. REPAYMENT

Borrowers are responsible for repaying borrowed principal together with applicable Finance Charges and lawful fees.

Repayment requirements may include minimum periodic payments.

Applicable repayment information will be displayed through the Platform.

Where the amount due is less than an otherwise applicable minimum payment, the Platform may require payment of the remaining amount due.

Borrowers may make additional payments or repay balances early unless otherwise disclosed and legally permitted.

Internal repayments are denominated in xDAI unless expressly indicated otherwise, even where displayed as USD.

21. FINANCE CHARGES AND INTEREST

Applicable interest rates or Finance Charges will be displayed through the Platform.

Finance Charges may begin accruing when borrowed funds are advanced or withdrawn.

Where the Platform uses an average-daily-balance or similar calculation, the applicable methodology may be reflected within the Platform.

No User is authorized through these Terms to knowingly impose interest or fees exceeding the maximum amount permitted by applicable law.

If an amount is determined to exceed a lawful maximum, it may be reduced, credited, refunded, or otherwise handled as required by law.

22. PLATFORM FEES

The Blender Platform may charge fees for certain services.

Applicable fees may include:

Credit-Line Creation Fees

The Platform may charge a fee for creating a Credit-Line. The applicable amount will be displayed through the Platform.

Blender Wallet Service Charges

Unless a different rate is expressly displayed or subsequently adopted in accordance with these Terms, Blender Wallets may be subject to a monthly service charge equal to 1.9% of the applicable Wallet balance.

Credit-Line Transaction Charges

Unless different charges are expressly displayed or subsequently adopted in accordance with these Terms:

  • the Platform may charge 5% in connection with funds a Lender contributes to or reclaims from a Credit-Line; and

  • the Platform may charge 5% in connection with funds a Borrower withdraws from or repays to a Credit-Line.

Blockchain and Normalization Costs

Blockchain fees, gas costs, bridge fees, routing costs, exchange costs, liquidity costs, and Normalization expenses may apply separately.

These amounts may be paid to blockchain networks, liquidity providers, Smart Contracts, bridges, or other infrastructure providers and are not necessarily retained by Lenderblock.

Lenderblock may modify Platform fees prospectively upon appropriate notice.

23. DELINQUENCY

A Borrower is delinquent when a required payment is not made when due.

The Platform may provide reminders, grace periods, notices, or opportunities to cure missed payments.

Unless different requirements are displayed or applicable law requires otherwise, a Credit-Line that remains delinquent for approximately two consecutive months may become subject to closure or default procedures.

24. DEFAULT

A Borrower may be considered in default if the Borrower:

  1. fails to make required payments and fails to cure the delinquency as required;

  2. materially violates these Terms;

  3. materially violates applicable Credit-Line parameters;

  4. provides materially false or misleading information;

  5. uses the Platform for fraud or unlawful activity;

  6. becomes subject to insolvency, bankruptcy, receivership, or similar proceedings where relevant; or

  7. experiences another event expressly designated by the Platform as an event of default and permitted by law.

Upon default, the Platform may, subject to applicable law:

  • suspend borrowing;

  • freeze Credit-Line activity;

  • terminate the Credit-Line;

  • apply available Collateral;

  • restrict the Borrower’s account;

  • pursue lawful collection remedies; or

  • take other reasonable action to protect Lenders and the Platform.

25. APPLICATION OF COLLATERAL FOLLOWING DEFAULT

When a Credit-Line is closed following default and eligible Collateral is available, the Platform may distribute Collateral among affected Lenders proportionally according to unpaid principal exposure.

Unless expressly disclosed otherwise, Collateral distributions are intended first to address unpaid borrowed principal.

Collateral does not necessarily protect accrued or future interest.

If available Collateral exceeds the principal amount eligible for reimbursement, remaining Collateral will be handled according to applicable Platform rules and the rights of the persons who supplied it.

26. CREDIT-LINE CLOSURE

A Credit-Line may be closed because of:

  • Borrower request;

  • full repayment;

  • prolonged inactivity;

  • delinquency;

  • default;

  • compliance requirements;

  • legal requirements;

  • security concerns;

  • technological changes;

  • discontinuation of a Platform feature; or

  • another reason permitted under these Terms.

Closing a Credit-Line does not eliminate outstanding repayment obligations.

27. SMART CONTRACTS AND BLOCKCHAIN EXECUTION

Certain Platform functions may be performed or recorded through Smart Contracts.

Users acknowledge that Smart Contracts may execute automatically when programmed conditions are satisfied.

Blockchain transactions may be irreversible.

Smart Contracts may contain:

  • coding defects;

  • vulnerabilities;

  • unexpected behavior;

  • protocol dependencies; or

  • other technological risks.

Lenderblock may update, replace, migrate, pause, or discontinue Smart Contract infrastructure where reasonably necessary for security, compliance, functionality, or Platform development.

28. DIGITAL-ASSET AND BLOCKCHAIN RISKS

Digital Assets and blockchain systems involve substantial risks.

These include:

  • loss of Digital Assets;

  • loss of credentials;

  • blockchain congestion;

  • delayed confirmations;

  • failed transactions;

  • forks;

  • protocol changes;

  • Smart Contract vulnerabilities;

  • hacking;

  • phishing;

  • malware;

  • bridge exploits;

  • validator failures;

  • liquidity shortages;

  • slippage;

  • stablecoin deviations;

  • regulatory changes; and

  • discontinuation of networks or services.

Users should not participate in blockchain transactions unless they understand and accept these risks.

29. xDAI VALUE RISK

Although xDAI is designed to maintain an approximate value corresponding to USD, its market value may differ from 1.00 USD.

Lenderblock does not guarantee the market value, liquidity, convertibility, stability, or continued existence of xDAI.

Any USD value displayed by the Platform is approximate.

30. NO GUARANTEE OF RETURNS OR REPAYMENT

Neither Lenderblock nor the Platform guarantees that:

  • Borrowers will repay amounts owed;

  • Collateral will always be sufficient;

  • Lenders will earn a particular return;

  • Stakers will receive particular commissions;

  • xDAI will maintain an exact 1.00 USD value; or

  • Platform funds will remain continuously withdrawable.

Historical activity, displayed interest, borrower information, or Collateral ratios do not constitute guarantees of future outcomes.

31. NO INVESTMENT, TAX, LEGAL, OR ACCOUNTING ADVICE

Lenderblock does not provide individualized investment, legal, accounting, or tax advice merely by operating the Platform.

Users are responsible for evaluating their own financial circumstances and obtaining independent professional advice where appropriate.

32. TAXES

Users are responsible for determining and satisfying their own tax obligations arising from Platform activity.

Digital Asset transactions, interest, commissions, staking compensation, conversions, gains, losses, lending, borrowing, or other Platform activity may create reporting obligations.

Lenderblock may collect tax information, report transactions, or withhold amounts where required by law.

33. CREDIT INFORMATION

Where permitted by law, Lenderblock may request or obtain information concerning a Borrower’s:

  • identity;

  • repayment history;

  • creditworthiness;

  • financial condition; or

  • Platform activity.

If Lenderblock or an authorized party furnishes information to a consumer-reporting agency, such reporting will be subject to applicable law.

Nothing in these Terms guarantees that every Credit-Line or Borrower will be reported to a consumer-reporting agency.

34. FAIR AND NONDISCRIMINATORY ACCESS TO CREDIT

Credit-related Platform activity must comply with applicable fair-lending and anti-discrimination law.

No User may intentionally use The Blender Platform to unlawfully discriminate against a Borrower or applicant on a prohibited basis.

35. USER-GENERATED CONTENT

The Platform may permit Users to create, upload, publish, transmit, share, or otherwise make available User Content.

User Content may include:

  • profile photographs;

  • profile images;

  • usernames;

  • biographies;

  • photographs;

  • captions;

  • comments;

  • replies;

  • messages;

  • links;

  • descriptions;

  • reactions;

  • text;

  • audiovisual content; and

  • other material.

User Content is provided by Users, not by Lenderblock.

Except for rights expressly granted under these Terms, Lenderblock does not claim ownership of User Content solely because it is uploaded to the Platform.

36. USER RESPONSIBILITY FOR CONTENT

Each User is solely responsible for User Content submitted through the User’s account.

By providing User Content, you represent and warrant that:

  1. you own the content or possess all rights and permissions legally necessary to use it;

  2. the content does not infringe copyright, trademark, privacy, publicity, contractual, or other rights;

  3. where content depicts another identifiable person, you possess any legally required permission;

  4. the content does not violate applicable law;

  5. the content is not unlawfully defamatory, fraudulent, threatening, harassing, or deceptive; and

  6. providing the content does not violate obligations you owe to another party.

37. LICENSE TO USER CONTENT

By submitting User Content to The Blender Platform, you grant Lenderblock a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to:

  • host;

  • store;

  • reproduce;

  • process;

  • transmit;

  • display;

  • publish;

  • format;

  • resize;

  • adapt;

  • distribute; and

  • otherwise use

that User Content to the extent reasonably necessary to:

  • operate the Platform;

  • display the content to Users;

  • provide sharing, commenting, and social functions;

  • moderate and secure the Platform;

  • investigate abuse;

  • comply with law;

  • improve Platform functionality; and

  • promote or demonstrate public portions of the Platform where legally permitted.

This license does not transfer ownership of User Content to Lenderblock.

38. COMMENTS, CAPTIONS, POSTS, AND USER INTERACTIONS

The Platform may allow Users to comment on, respond to, caption, discuss, react to, or interact with content created by others.

The views expressed in User Content belong to the User who provided them.

Lenderblock does not endorse, adopt, verify, sponsor, or guarantee User Content merely because it appears on the Platform.

Users may encounter content they consider:

  • inaccurate;

  • offensive;

  • objectionable;

  • misleading;

  • inappropriate; or

  • undesirable.

To the fullest extent permitted by law, Lenderblock is not responsible for statements, representations, opinions, images, claims, advice, offers, or other content supplied by Users or third parties.

39. PROHIBITED USER CONTENT

Users must not post or distribute User Content that:

  1. infringes another person’s intellectual-property rights;

  2. unlawfully violates privacy or publicity rights;

  3. impersonates another person or falsely suggests endorsement;

  4. contains unlawful threats or harassment;

  5. constitutes unlawful defamation;

  6. contains child sexual abuse material or unlawfully exploits minors;

  7. solicits, facilitates, or promotes criminal activity;

  8. contains malicious software or deceptive credential-stealing links;

  9. is designed to defraud or scam another User;

  10. unlawfully publishes highly sensitive personal information;

  11. violates sanctions or financial-crime laws;

  12. manipulates Platform financial activity;

  13. promotes prohibited activity; or

  14. otherwise creates material legal, security, or operational risk.

40. CONTENT MODERATION AND REMOVAL

Lenderblock reserves the right, but does not undertake a general obligation, to:

  • review;

  • screen;

  • restrict;

  • disable;

  • refuse;

  • remove;

  • preserve;

  • restore;

  • label;

  • limit distribution of; or

  • otherwise moderate

User Content.

Lenderblock may take such action when it reasonably believes content:

  • violates these Terms;

  • violates law;

  • infringes rights;

  • presents fraud or security concerns;

  • threatens Users or Platform infrastructure;

  • creates material legal risk; or

  • is subject to a lawful governmental, judicial, or intellectual-property request.

Lenderblock may act with or without advance notice where legally permitted.

Lenderblock does not guarantee that unlawful or objectionable User Content will always be identified or removed immediately.

41. REPORTING USER CONTENT

Users may report suspected violations through Platform reporting tools or by contacting Lenderblock.

Submitting a report does not guarantee removal of content or a particular enforcement outcome.

Lenderblock may investigate reports and determine appropriate action in its reasonable discretion.

Users must not knowingly submit false, fraudulent, abusive, or misleading reports.

42. INTELLECTUAL PROPERTY OF USERS AND THIRD PARTIES

Users must respect copyrights, trademarks, publicity rights, privacy rights, and other intellectual-property rights.

You may not upload an image, photograph, video, graphic, logo, written work, music, or other copyrighted material merely because it is publicly available online.

You are responsible for obtaining any legally necessary authorization before posting third-party material.

43. COPYRIGHT AND DMCA POLICY

Lenderblock respects the intellectual-property rights of others and intends to respond to valid copyright infringement notices in accordance with applicable law, including the Digital Millennium Copyright Act.

A copyright owner or authorized representative who believes material available through The Blender Platform infringes a copyright may submit a written notification to Lenderblock’s designated copyright agent.

A compliant notice should include:

  1. a physical or electronic signature of the copyright owner or authorized representative;

  2. identification of the copyrighted work claimed to have been infringed;

  3. identification of the allegedly infringing material and information sufficient to locate it;

  4. contact information for the complaining party;

  5. a statement of good-faith belief that the use is not authorized by the copyright owner, agent, or law; and

  6. a statement, under penalty of perjury, that the notification is accurate and that the complaining party is authorized to act on behalf of the owner.

Notices should be sent to:

DMCA / Copyright Agent
Lenderblock Corporation
Address: [INSERT REGISTERED DMCA AGENT MAILING ADDRESS]
Telephone: [INSERT DMCA AGENT TELEPHONE NUMBER]
Email: [INSERT DMCA COPYRIGHT EMAIL]

Lenderblock may remove or disable access to allegedly infringing material upon receiving an effective notification.

Knowingly false or materially misleading allegations may expose the submitting party to liability.

44. DMCA COUNTER-NOTIFICATION

If User Content is removed or disabled because of a copyright notice and the affected User believes removal resulted from mistake or misidentification, the User may submit a counter-notification as permitted by law.

The counter-notification should include:

  1. the User’s physical or electronic signature;

  2. identification of the removed or disabled material;

  3. a statement under penalty of perjury that the User has a good-faith belief the material was removed because of mistake or misidentification;

  4. the User’s name, address, and telephone number; and

  5. any legally required consent to jurisdiction and service of process.

Lenderblock may provide a valid counter-notification to the original complaining party and restore material where legally permitted.

45. REPEAT INFRINGER POLICY

Lenderblock maintains a policy providing for termination, in appropriate circumstances, of Users who repeatedly infringe copyright or other intellectual-property rights.

Lenderblock may consider:

  • valid infringement notices;

  • counter-notifications;

  • judicial determinations;

  • patterns of infringement; and

  • other reliable information.

Lenderblock is not required to wait for a particular number of infringement reports before taking action.

46. OTHER INTELLECTUAL-PROPERTY COMPLAINTS

Complaints involving trademarks, impersonation, publicity rights, privacy rights, or other intellectual property may be submitted to:

help@lenderblock.io

53. ELECTRONIC RECORDS AND CONSENT

Electronic records may satisfy requirements that information, disclosures, agreements, acknowledgments, or notices be provided in writing where legally permitted.

Electronic Platform actions may evidence consent to applicable transactions and terms.

Platform records may include:

  • timestamps;

  • Collateral;

  • lender contributions;

  • Staker contributions;

  • fees;

help@lenderblock.io

Your notice should include, where applicable:

  • your name;

  • User ID;

  • applicable transaction or Credit-Line;

  • transaction date; and

  • explanation of the suspected error.

Nothing in this section waives non-waivable billing or consumer rights.

56. PLATFORM AVAILABILITY

Lenderblock does not guarantee uninterrupted Platform availability.

The Platform may become unavailable because of:

  • scheduled maintenance;

  • emergency maintenance;

  • blockchain outages;

  • third-party service failure;

  • software updates;

  • Internet outages;

  • legal restrictions;

  • force majeure; or

  • other operational circumstances.

57. PLATFORM MODIFICATIONS

Lenderblock may improve, add, remove, replace, suspend, or modify Platform features.

This may include changes to:

  • Supported Networks;

  • Supported Assets;

  • wallet systems;

  • Smart Contracts;

  • lending;

  • borrowing;

  • staking;

  • Normalization;

  • social features;

Changes affecting existing financial obligations remain subject to applicable law.

58. CHANGES TO THESE TERMS

Lenderblock may amend these Terms from time to time.

Where required by law or reasonably appropriate because of a material change, Lenderblock will provide notice before changes become effective.

Unless applicable law requires otherwise, changes apply prospectively.

Continued use of the Platform after the effective date of updated Terms constitutes acceptance where legally valid.

59. SUSPENSION

Lenderblock may suspend some or all Platform access where reasonably necessary because of:

  • suspected fraud;

  • unauthorized access;

  • security risks;

  • sanctions;

  • identity-verification concerns;

  • prohibited conduct;

  • delinquency;

  • default;

  • Smart Contract emergencies;

  • blockchain emergencies; or

  • violations of these Terms.

Suspension does not eliminate outstanding obligations.

60. ACCOUNT TERMINATION

A User may request account closure subject to resolution of:

  • outstanding Credit-Line obligations;

  • pending transactions;

  • Collateral commitments;

  • unresolved withdrawals;

  • investigations;

  • legal holds; and

Such circumstances may include:

  • natural disasters;

62. DISCLAIMERS

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE BLENDER PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

LENDERBLOCK DOES NOT WARRANT THAT:

  • THE PLATFORM WILL ALWAYS BE AVAILABLE;

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE LENDERBLOCK PARTIES FOR CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF:

A. 100 USD; OR

B. THE PLATFORM FEES ACTUALLY PAID TO LENDERBLOCK BY THE USER DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply where liability cannot lawfully be limited.

64. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Lenderblock Corporation and its:

  • affiliates;

  • officers;

  • directors;

  • shareholders;

  • employees;

  • contractors;

  • representatives;

  • service providers;

  • licensors;

  • successors; and

  • assigns

from third-party claims, demands, proceedings, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and reasonable attorneys’ fees arising out of or relating to:

  1. your use or misuse of the Platform;

  2. your User Content;

  3. photographs, captions, comments, messages, links, or other content you submit;

  4. allegations that your content infringes copyright, trademark, privacy, publicity, or other rights;

  8. your transactions or disputes with another User;

  9. your lending, borrowing, staking, Collateral, or Credit-Line activity;

  10. taxes arising from your activity;

  11. Digital Assets or wallet addresses supplied or controlled by you;

  12. your violation of another person’s rights; or

  13. another person’s use of your account where such use resulted from your intentional conduct or failure to use reasonable security measures.

Lenderblock may assume exclusive control of the defense of a matter subject to indemnification.

You agree to reasonably cooperate with such defense.

You may not settle a claim in a way that imposes obligations, admissions, or liability upon Lenderblock without prior written consent.

65. USER-TO-USER DISPUTES

Users are responsible for their interactions and dealings with other Users.

Lenderblock is not responsible for independently resolving every interpersonal, reputational, contractual, content-related, or other dispute between Users.

To the fullest extent permitted by law, you release the Lenderblock Parties from claims arising solely from disputes between you and another User, except where a claim arises from Lenderblock’s own conduct for which liability cannot legally be excluded.

66. DISPUTE RESOLUTION AND MANDATORY INDIVIDUAL ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for disputes expressly excluded below, you and Lenderblock agree that disputes, claims, or controversies arising out of or relating to:

  • these Terms;

  • The Blender Platform;

  • your account;

  • User Content;

  • Credit-Lines;

  • lending;

  • borrowing;

  • staking;

  • Collateral;

  • fees;

  • Digital Assets;

  • blockchain transactions;

  • communications;

  • privacy;

  • account suspension; or

  • the relationship between you and Lenderblock

will be resolved through final and binding individual arbitration rather than litigation before a judge or jury.

This Arbitration Agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16.

67. INFORMAL DISPUTE RESOLUTION BEFORE ARBITRATION

Before initiating arbitration, the party asserting a dispute must provide the other party with written Notice of Dispute.

Notices to Lenderblock should be sent to:

help@lenderblock.io

The Notice should include:

  • claimant name;

  • User ID or identifying account information;

  • description of the dispute;

  • factual basis;

  • requested relief; and

  • information reasonably necessary to evaluate the dispute.

The parties agree to attempt good-faith informal resolution for at least 60 days after receipt of a complete Notice.

68. ARBITRATION PROCEDURE

If the dispute is not resolved informally, either party may initiate individual arbitration administered by the American Arbitration Association (“AAA”) under applicable AAA rules.

If AAA is unavailable or unwilling to administer a dispute, the parties may mutually select another nationally recognized arbitration provider or ask a court to appoint an arbitrator where legally permitted.

The arbitrator may award relief available to the individual claimant that a court could lawfully award.

Judgment on an arbitration award may be entered in any court having jurisdiction.

Arbitration may occur remotely, by video, telephone, written submission, or another method allowed by applicable rules.

69. AUTHORITY OF THE ARBITRATOR

Except for issues that applicable law requires a court to decide, the arbitrator will have authority to resolve disputes concerning interpretation, applicability, enforceability, formation, scope, or validity of this Arbitration Agreement.

70. EXCEPTIONS TO ARBITRATION

Either party may bring an individual action in a qualifying small-claims court where jurisdictional requirements are satisfied.

Either party may seek temporary or preliminary injunctive relief in court where reasonably necessary to:

  • prevent misuse of intellectual property;

  • prevent unauthorized system access;

  • prevent exploitation of Smart Contracts;

  • prevent fraud or theft;

  • preserve the status quo pending arbitration; or

  • obtain relief that applicable law permits to be sought directly in court.

Government agencies retain any enforcement authority provided by law.

71. CLASS ACTION AND REPRESENTATIVE ACTION WAIVER

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND LENDERBLOCK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY.

Neither party may participate as a plaintiff, claimant, class member, or representative in a purported:

  • class action;

  • collective action;

  • consolidated action;

  • coordinated representative proceeding;

  • private-attorney-general action; or

  • other representative action,

except where applicable law creates a non-waivable right to do so.

72. JURY TRIAL WAIVER

TO THE EXTENT A DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND LENDERBLOCK EACH KNOWINGLY AND VOLUNTARILY WAIVE, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY RIGHT TO A TRIAL BY JURY.

73. ARBITRATION OPT-OUT

A new User may opt out of the Arbitration Agreement by sending written notice to:

help@lenderblock.io

within 30 days after first accepting the version of these Terms containing this Arbitration Agreement.

The notice must clearly state that the User wishes to opt out of arbitration and provide information reasonably sufficient to identify the User’s account.

Opting out of arbitration does not affect the remainder of these Terms.

74. SEVERABILITY OF ARBITRATION TERMS

If a portion of the Arbitration Agreement other than the Class Action Waiver is found unenforceable, that portion will be severed and the remainder will remain effective to the maximum extent permitted by law.

If the Class Action Waiver is found unenforceable with respect to a particular claim or remedy and individual arbitration cannot legally proceed for that claim or remedy, that portion may proceed in court after arbitrable issues are resolved unless applicable law requires otherwise.

75. GOVERNING LAW

These Terms are governed by applicable federal law of the United States and, where state law applies and is not preempted, the laws of the State of Delaware, without regard to conflict-of-law principles.

Mandatory consumer-protection, lending, privacy, financial-services, or other applicable laws remain effective where they cannot legally be waived.

76. ASSIGNMENT

Users may not assign or transfer their Platform account or obligations without Lenderblock’s prior consent where legally permitted.

Lenderblock may assign or transfer its rights or obligations in connection with:

  • a merger;

  • acquisition;

  • reorganization;

  • financing;

  • restructuring;

  • sale of assets; or

  • transfer of the Platform,

subject to applicable law.

77. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted or severed where necessary.

The remaining provisions remain in effect.

78. NO WAIVER

Failure by Lenderblock to enforce a provision of these Terms does not permanently waive Lenderblock’s right to enforce that provision or another provision later.

79. ENTIRE AGREEMENT

These Terms, together with:

  • Credit-Line-specific parameters displayed through the Platform;

  • transaction-specific disclosures;

  • fee disclosures;

  • legally required credit disclosures;

  • the Privacy Policy; and

  • other policies expressly incorporated by reference

constitute the agreement governing use of The Blender Platform.

There is no separate individual Credit-Line Written Contractual Agreement unless the Platform expressly introduces one for a future or specialized product.

80. RELATIONSHIP OF PLATFORM RECORDS TO THESE TERMS

Credit-Line-specific parameters displayed and accepted through the Platform supplement these Terms.

If a Credit-Line displays an interest rate, repayment requirement, credit limit, collateral requirement, fee, voting rule, or other transaction-specific parameter, that parameter applies to the Credit-Line.

Lenderblock may use Platform records and confirmed blockchain data to evidence the terms applicable when a financial action occurred.

81. NO FIAT USD ACCOUNT

For avoidance of doubt:

The Blender Platform conducts its internal financial transactions in xDAI unless expressly stated otherwise.

The routine display of xDAI amounts as USD does not mean fiat U.S. dollars are being held or transferred.

Accordingly:

  • 100 USD displayed within Blender may represent approximately 100 xDAI;

  • 500 USD of Credit-Line funding may represent approximately 500 xDAI;

  • 50 USD of repayment may represent approximately 50 xDAI; and

  • comparable USD references should be interpreted in the same manner.

The exact market value of xDAI may vary.

82. ACKNOWLEDGMENT OF LENDING, BORROWING, AND STAKING RISK

BY PARTICIPATING AS A LENDER, BORROWER, OR STAKER, YOU ACKNOWLEDGE THAT YOU UNDERSTAND THE NATURE OF THE ACTIVITY YOU ARE UNDERTAKING.

LENDERS MAY EXPERIENCE DELAYED REPAYMENT OR LOSS.

BORROWERS INCUR REPAYMENT OBLIGATIONS.

STAKERS MAY HAVE COLLATERAL APPLIED TO BORROWER DEFAULTS.

DIGITAL ASSETS MAY CHANGE IN VALUE.

BLOCKCHAIN AND SMART CONTRACT TECHNOLOGY MAY FAIL OR BE EXPLOITED.

COLLATERAL PROTECTION MAY REDUCE CERTAIN CREDIT RISKS BUT DOES NOT ELIMINATE ALL RISKS.

YOU SHOULD NOT COMMIT FUNDS OR COLLATERAL THAT YOU CANNOT AFFORD TO HAVE TEMPORARILY RESTRICTED OR, WHERE APPLICABLE, LOST.

83. SURVIVAL

The provisions concerning:

  • intellectual property;

  • User Content licenses;

  • copyright complaints;

  • indemnification;

  • limitation of liability;

  • payment and repayment obligations;

  • taxes;

  • electronic records;

  • arbitration;

  • class-action waiver;

  • jury-trial waiver;

  • governing law; and

  • any provision that by its nature should survive

will survive account closure, suspension, termination of these Terms, or discontinuation of The Blender Platform.
